Acceptance of Terms

By creating a Midcove account or otherwise using the platform, you agree to these Terms of Service. If you are agreeing on behalf of a business, you confirm that you have the authority to bind that business to these terms. If you do not agree, you should not use Midcove.

Description of Service

Midcove is a payment gateway CRM. It does not issue merchant accounts and does not act as a payment processor itself. Instead, it connects to a merchant ID (MID) you already hold with a supported gateway, such as NMI, Authorize.Net, Stripe, or PayPal, and provides a dashboard for managing transactions, chargebacks, fraud filters, and related account activity on top of that existing relationship.

Merchant Responsibilities

You are responsible for maintaining your own merchant account and gateway relationship in good standing, keeping your login credentials confidential, and ensuring that anyone you grant access to your Midcove account is authorized to act on your business's behalf. You are responsible for the accuracy of the information you provide and for complying with your gateway provider's own terms and card network rules.

Acceptable Use

You agree not to use Midcove to process transactions you know or suspect to be fraudulent, to circumvent the fraud filters or access controls built into the platform, to attempt unauthorized access to another merchant's data, or to use the service in a way that violates applicable law or card network rules. We may investigate suspected violations and take action as described under Fraud Prevention & Account Suspension below.

Fees & Billing

Use of Midcove is subject to the subscription fees described on our Pricing page or in your order form. Fees are billed in advance on a recurring basis unless otherwise agreed in writing. Fees for the underlying payment processing itself are set by your gateway provider (NMI, Authorize.Net, Stripe, or PayPal) and are separate from your Midcove subscription. [PLACEHOLDER — insert specific billing cycle, late payment, and refund terms].

Chargebacks & Disputes

Midcove provides tools to help you track and respond to chargebacks, but chargeback outcomes are ultimately determined by your gateway provider and the relevant card network, not by Midcove. You are responsible for responding to disputes in a timely manner using the tools provided and for maintaining evidence needed to contest a chargeback.

Fraud Prevention & Account Suspension

Midcove includes fraud filters that can block activity by IP address, email, or phone number, and that automatically lock an account for 24 hours after repeated failed transaction attempts. We may suspend or restrict access to your Midcove account, in whole or in part, if we detect activity that appears fraudulent, abusive, or in violation of these terms, or if your connected gateway account is suspended or terminated by your processor.

Intellectual Property

Midcove and its underlying software, design, and content are owned by Midcove and its licensors. These terms give you a limited, non-exclusive, non-transferable right to use the platform for your own business purposes. You retain ownership of your own transaction and business data.

Disclaimers & Limitation of Liability

Midcove is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim warranties of any kind, express or implied, including merchantability and fitness for a particular purpose. Midcove is not liable for actions taken by your gateway provider, card networks, or issuing banks. [PLACEHOLDER — insert specific liability cap and exclusions consistent with applicable law].

Termination

You may cancel your Midcove account at any time through your account settings or by contacting us. We may suspend or terminate your access if you violate these terms, if required by law, or if your account presents an ongoing fraud or security risk. Upon termination, your right to use the platform ends, though certain obligations, such as payment for services already rendered, will survive.

Governing Law

These terms are governed by the laws of [PLACEHOLDER — specify governing jurisdiction], without regard to its conflict of laws principles.

Changes to Terms

We may update these Terms of Service from time to time. We will post the revised terms on this page and update the "Last updated" date above. Continued use of Midcove after changes take effect constitutes acceptance of the updated terms.
